Terms of Service

By accessing or using Teach Pair Share, you agree to these Terms. If you use the service on behalf of a school, district, company, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

• You must be at least 18 years old to create an account, buy, sell, or upload content.
• The service is for educators and other adults. Children under 13 may not create accounts or use the service directly.
• You are responsible for ensuring your use complies with school, district, employer, procurement, privacy, curriculum, and professional policies that apply to you.

You are responsible for your account, credentials, role permissions, profile information, and all activity under your account. You must provide accurate information, keep it current, and promptly notify us if you believe your account has been compromised.

We may require email verification, additional identity checks, Stripe Connect onboarding, tax-readiness steps, educator verification, or other reasonable verification before enabling certain features.

Teach Pair Share provides a marketplace where creators can list original educational resources and buyers can purchase licenses to access and use those resources. Unless we expressly state otherwise, creators are independent sellers and are not employees, agents, partners, franchisees, or representatives of Teach Pair Share.

We may review, rank, moderate, remove, restrict, or refuse content, stores, accounts, transactions, reviews, support requests, or marketplace activity when we believe it is necessary to operate the service, protect users, enforce these Terms, or comply with law.

When you buy a resource, you purchase a limited license to use that digital resource. You do not buy ownership of the creator's intellectual property. Unless the listing, license tier, or separate written terms state otherwise, purchases are for the buyer's own classroom, instructional, or educational use.

• Individual license.One educator may use the resource for that educator's own classroom or instructional setting.
• Multi-Educator license. A buyer may use the resource for the number of educators, seats, team members, or classrooms shown at purchase.
• School or District license. A school, district, or organization may use the resource only within the scope, seats, sites, duration, and transfer rules shown at purchase or in a separate agreement.

You may not resell, redistribute, publicly post, upload to public file-sharing sites, include in competing products, use to train AI systems, remove copyright notices, share outside the license scope, or make the resource available in a way that lets others copy or download it outside the purchased license. Classroom display and distribution to your own students is allowed when it is reasonably necessary for the purchased instructional use and does not expose the resource publicly.

Digital educational resources are generally final sale. Site credit and Quality Guarantee support requests are handled under the Purchase Support Policy.

Creators are responsible for every listing, file, preview, description, image, license, resource, message, and representation they submit. By listing content, creators represent and warrant that:

• They own the content or have all rights and permissions needed to sell or license it.
• The listing is accurate, complete, not misleading, and consistent with the actual download.
• All third-party fonts, clip art, images, text excerpts, templates, names, trademarks, and other materials are properly licensed and disclosed where required.
• AI-assisted content is disclosed where required by our product flow or policies, reviewed by the creator, and compliant with these Terms.
• The content does not include student personally identifiable information, confidential school records, private staff information, or other prohibited sensitive data.
• The creator will maintain working files, honor purchased license terms, respond to reasonable support requests, and correct material listing or file issues promptly.

We may require creator applications, educator verification, originality review, Quality Guarantee acknowledgments, tax-readiness checks, additional attestations, or manual review before publication or payout eligibility.

Prices, platform commissions, Stripe processing amounts, Pair Credit, promotional fees, site credits, sales, discounts, and payout routing are shown in the relevant product, checkout, dashboard, or admin flow. We may update commission rates, promotion fees, credit programs, and payment rules prospectively, subject to applicable law and any written program terms.

• Stripe. Payments, creator onboarding, account verification, tax identity collection, card processing, bank account handling, payouts, and certain tax reporting functions are handled by Stripe or through Stripe Connect and Stripe Express. Stripe may require creators to accept Stripe terms.
• Creator earnings. Product-sale proceeds and eligible Pair Credit are routed through Stripe when technically available and when the creator account is active, eligible, and compliant. Funds may be delayed, withheld, reversed, offset, or adjusted for refunds, chargebacks, support outcomes, fraud, policy violations, tax-readiness issues, Stripe requirements, legal requirements, or accounting corrections.
• Site credit. Site credit has no cash value, is not transferable, may expire, and may be reversed if issued in error, tied to fraud, tied to abuse, or required by policy.
• Taxes. Users are responsible for taxes that apply to their purchases, sales, earnings, licenses, or use of the service. We and Stripe may collect tax information, calculate or collect certain taxes, issue or support tax forms, or provide reports where required or configured. We do not provide tax, accounting, or legal advice.

Pair Credit recognizes eligible creator discovery activity when a creator helps another educator discover another creator's marketplace resource. Pair Credit is funded from the platform commission and does not reduce the product creator's earnings for that sale.

• Share-link attribution currently uses a 30-day first-party attribution window.
• Organic search attribution currently uses short-lived first-party session identifiers.
• Where multiple attribution signals exist, our applicable attribution rules determine the credited creator.
• Own-product sales earn product-sale proceeds only. A creator does not earn Pair Credit when their own share link, store page, product page, or search result leads to a sale of their own product.
• Self-referrals, artificial traffic, undisclosed paid traffic, misleading links, cookie stuffing, purchase rings, fake accounts, review manipulation, and other abuse are prohibited.
• Pair Credit may be reversed or withheld for refunds, chargebacks, fraud, policy violations, attribution errors, Stripe restrictions, or accounting corrections.

We may change, pause, or end Pair Credit rules prospectively. Existing earned amounts may still be adjusted when required by the rules above.

Some listings may display a Quality Guarantee badge when the creator has opted in and acknowledged the applicable expectations. The badge is a marketplace support commitment, not a promise that every buyer will prefer the resource or that the resource will fit every classroom.

Eligible Quality Guarantee support requests must be sent within the current guarantee window shown in the Purchase Support Policy. Approved support requests result in site credit unless a different remedy is required by law or expressly offered by us. Accounts, products, or creators with unusual request patterns, abuse, or repeated quality issues may be reviewed, limited, suspended, or removed.

Reviews, ratings, Quality Scores, badges, search placement, recommendations, analytics, and visibility tools are designed to help educators find useful resources. They are not guarantees of quality, earnings, ranking, sales, traffic, or outcomes.

• Reviews must reflect honest, relevant experience and may not include student personal information, harassment, threats, spam, or paid manipulation.
• Creators may not require positive reviews, trade compensation for positive reviews, review their own products through alternate accounts, or coordinate misleading activity.
• We may remove, limit, downrank, annotate, or refuse reviews and signals that violate policy or compromise marketplace trust.

You may not use Teach Pair Share to create, upload, sell, buy, promote, or distribute:

• Content that infringes copyrights, trademarks, privacy rights, publicity rights, or other rights.
• Student personally identifiable information, education records, IEP details, health information, discipline records, or identifiable student work.
• Illegal, deceptive, defamatory, harassing, hateful, discriminatory, pornographic, exploitative, unsafe, malware-containing, or harmful content.
• Resources that are materially misleading, broken, mislabeled, falsely aligned to standards, falsely advertised as editable, or padded to create deceptive value.
• Content that violates school policies, platform rules, third-party license terms, export laws, sanctions rules, or applicable law.

You also may not:

• Scrape, copy, crawl, reverse engineer, bypass access controls, interfere with security, overload systems, or use the service to build a competing marketplace without permission.
• Manipulate search, reviews, ratings, Pair Credit, payments, support requests, promotions, taxes, or verification systems.
• Use another person's account, impersonate others, submit false information, hide ownership, or evade suspension.
• Upload prompts or content to AI tools that you do not have rights to use or that contain confidential student or school information.

Teach Pair Share, our brand, product design, software, platform content, documentation, workflows, badges, scoring systems, and non-user content are owned by us or our licensors and are protected by intellectual property laws. These Terms do not grant you ownership of the platform.

You retain ownership of content you submit, subject to the rights you grant here. By submitting content, you grant Teach Pair Share a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, perform, distribute, index, analyze, adapt for technical formatting, promote, and otherwise use that content as needed to operate, secure, improve, market, and support the marketplace and fulfill purchases. This license continues as needed for past purchases, backups, legal records, support, accounting, fraud prevention, and policy enforcement.

Creators grant buyers the license rights shown at purchase. Creators may remove future availability of a resource, but removal does not cancel valid licenses already purchased unless required by law, policy, infringement resolution, or another applicable rule.

We respect intellectual property rights and may remove or restrict content that appears to infringe. Copyright notices should be sent to our Copyright Agent at support@mail.teachpairshare.com.

A copyright notice should include:

• A physical or electronic signature of the copyright owner or authorized agent.
• Identification of the copyrighted work claimed to be infringed.
• Identification of the material claimed to be infringing and enough information for us to locate it.
• Your contact information, including name, address, phone number, and email address.
• A statement that you have a good-faith belief the use is not authorized by the copyright owner, agent, or law.
• A statement that the information in the notice is accurate and, under penalty of perjury, that you are authorized to act on behalf of the owner.

We may forward notices to the affected user and may accept counter-notices where appropriate. Accounts that repeatedly infringe or repeatedly submit infringing content may be suspended or terminated.

We may offer founding-creator programs, promotional slots, lotteries, bounties, sitewide sales, surveys, badges, early-access programs, or other marketplace programs. These programs may have additional eligibility requirements, fees, deadlines, quality thresholds, acceptance windows, cooldowns, ranking rules, or official rules. If program terms conflict with these Terms, the program terms control for that program.

Promotional placement, badges, Quality Scores, bounties, and early access do not guarantee sales, traffic, earnings, buyer satisfaction, or continued eligibility.

We may send transactional, service, security, policy, support, marketplace, payout, purchase, creator, and administrative communications. If you opt in to marketing or waitlist updates, we may send promotional emails. You can unsubscribe from marketing emails, but we may still send transactional or service messages needed to operate your account or the marketplace.

The service may depend on or link to third-party services, including Stripe, Supabase, Vercel, Resend, PostHog, Sentry, Typesense, Upstash, Google Gemini, and other tools. We are not responsible for third-party services, terms, policies, outages, decisions, integrations, or processing except where applicable law says otherwise.

AI-assisted features are optional productivity tools. Outputs may be inaccurate, incomplete, biased, infringing, or unsuitable. Creators remain responsible for reviewing, editing, verifying, disclosing, and lawfully using any AI-assisted output before publication.

We may warn, limit, remove content, pause payouts, reverse credits, restrict features, suspend accounts, terminate accounts, withhold publication, deindex listings, or take other reasonable action if we believe a user violated these Terms, created legal risk, harmed marketplace trust, created security risk, abused support or payment systems, or otherwise used the service in a way that could harm users or the platform.

Where appropriate, we may provide notice and an opportunity to respond or appeal. We may act immediately without advance notice when needed for legal, safety, security, payment, fraud, copyright, tax, or platform-integrity reasons.

The service and all resources are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and uninterrupted operation.

We do not guarantee that any resource will meet a specific classroom need, legal requirement, curriculum standard, accessibility requirement, school policy, district policy, or student outcome. Educators remain responsible for reviewing resources before use and determining whether they are appropriate for their students and setting.

To the fullest extent permitted by law, Teach Pair Share and its owners, officers, employees, contractors, vendors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, goodwill, business, educational opportunity, or revenue, arising from or related to the service or these Terms.

To the fullest extent permitted by law, our total liability for any claim arising from or related to the service or these Terms will not exceed the greater of the amount you paid to Teach Pair Share for the transaction giving rise to the claim or one hundred U.S. dollars. Some jurisdictions do not allow certain limitations, so some limits may not apply to you.

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Teach Pair Share and its owners, officers, employees, contractors, vendors, and agents from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorney fees, arising from or related to your content, listings, purchases, classroom use, misuse of the service, violation of these Terms, violation of law, infringement of rights, tax obligations, or use of third-party materials.

These Terms are governed by applicable U.S. federal law and, where state law applies, the laws of the state where Teach Pair Share is legally organized, without regard to conflict-of-law rules. Consumer protection laws in your jurisdiction may provide additional rights that cannot be waived.

Before bringing a formal legal proceeding, you agree to contact us at support@mail.teachpairshare.com and give us a reasonable opportunity to resolve the issue informally, unless applicable law allows you to proceed without doing so.

We may update these Terms as the marketplace, law, vendors, or business model changes. When changes are material, we will provide notice as required or appropriate. Continued use of the service after updated Terms become effective means you accept the updated Terms.
